“The Luxembourg Trade and Companies Register (the “RCS”) may, in the future, be able to issue administrative sanctions to companies that intentionally submit inaccurate, incomplete information or do not update the Register of Beneficial Owners (the “RBE”).
As a reminder, the Register of Beneficial Owners was created by the Law of January 13 (the “RBE Law”), 2019 with the aim of creating more accountability and transparency vis-à-vis the individuals behind companies registered in Luxembourg. Under the RBE Law, a deliberately incorrect declaration in the RBE is punishable by a fine ranging from € 1,250 to € 1,250,000.

RBE filing requirements apply to all legal entities registered with the Luxembourg Trade & Company Register (RCS).
The RBE – Luxembourg Register of Beneficial Owners (registre des bénéficiaires effectifs) – is a new official register, in addition to the RCS, managed by the Luxembourg Business Registers. Filing obligations rest with the legal entity & those who miss the deadline face penalties of €1,250 to €1.25 million.
